Notice of Changes in the Organizational Body of Subsidiary and its Officers
MINEBEA MITSUMI Inc. (the "Company") hereby announces that U-Shin Ltd. ("U-Shin"), a subsidiary of the Company, has resolved the following changes in its organizational body and officers at the Extraordinary General Meeting of Shareholders on August 9, 2019 and the Board of Directors' Meeting on the same day.
1. Changes in the Organizational Body of U-Shin
- (1) Background to the changes
As announced in the press release of April 11, 2019, "Announcement of Results of Tender Offer for Shares in U-Shin Ltd. (Securities Code: 6985) for Business Integration with U-Shin Ltd. and Changes in Subsidiaries" and the press release of July 8, 2019 "Announcement of Resolution Regarding Consolidation of Shares, Abolition of the Provision on Share Units and Partial Amendment of the Articles of Incorporation" by the U-Shin Ltd., 8,279,748 shares were consolidated into one share and as a result, U-Shin became a wholly-owned subsidiary of the Company as of August 7, 2019. In accordance with this, U-Shin has transferred its organizational body from a Company with Audit and Supervisory Committee to a Company with Audit & Supervisory Board Member on August 9, 2019. - (2) Summary of the changes
U-Shin changed its Articles of Incorporation to a Company with Audit & Supervisory Board Member. At the same time, four outside directors (three of whom are Audit and Supervisory Committee Members) resigned and three newly appointed directors and one newly appointed Audit & Supervisory Board Member assumed their posts.
